| At the conclusion of the 60-day measurement period, if the program benefits do not result in at least a 300% return relative to the program costs as defined below, then Phytel will either reduce the monthly subscription fee to produce a 300% ROI or will allow the customer to cancel the contract and receive a refund of all setup and subscription fees paid in excess of achieved program benefits. |

| ROI Calculation |

| ROI will be calculated as (Program Benefits) / (Program Costs). The ROI guarantee will be based on a 60-day measurement period subsequent to system “go live” date. |
